1. INTRODUCTION AND ACCEPTANCE

These Vendor Terms and Conditions ("Terms") constitute a binding agreement between you ("Vendor," "you," or "your") and Shukify ("Platform," "we," "us," or "our"). By registering as a vendor on the Shukify platform, listing products or services, or conducting any transaction through Shukify, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. VENDOR ELIGIBILITY AND REGISTRATION

2.1 Vendor Eligibility

To become a vendor on Shukify, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal authority to enter into binding contracts
• Not be prohibited from doing business in the United States
• Have a valid tax identification number (EIN or SSN)
• Comply with all applicable federal, state, and local laws and regulations
• Not have been previously terminated from Shukify or any similar marketplace

2.2 Registration Information

You agree to provide accurate, complete, and current information during registration and maintain the accuracy of this information. You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities conducted under your account.

2.3 Right to Refuse Service

Shukify reserves the right to refuse service, terminate accounts, or remove listings at any time, at our sole discretion, if we determine that a vendor does not meet our eligibility requirements or violates these Terms.

3. ACCOUNT MANAGEMENT AND RESPONSIBILITIES

3.1 Vendor Obligations

As a vendor on Shukify, you agree to:

• Maintain accurate account information
• Monitor your account regularly for orders and communications
• Respond to customer inquiries in a timely manner
• Honor all commitments made to customers
• Comply with all applicable laws and regulations
• Not engage in any fraudulent or deceptive practices

3.2 Account Access and Security

You are responsible for maintaining the security of your account credentials. You agree to immediately notify Shukify of any unauthorized access or security breaches. Shukify is not liable for any unauthorized access to your account if you fail to maintain reasonable security measures.

3.3 Communication

You consent to receiving communications from Shukify and customers via email, phone, SMS, or through the Shukify platform regarding your account, orders, and policy compliance.

4. PRODUCT AND SERVICE LISTINGS

4.1 Listing Accuracy and Quality

You are solely responsible for the accuracy, completeness, and legality of all product and service listings you post on Shukify. You warrant that:

• All product descriptions, images, and specifications are accurate and not misleading
• All product details, specifications, and claims are truthful and substantiated
• Products and services comply with all applicable laws and regulations
• You have the right to sell all products and services offered
• No listings infringe upon third-party intellectual property rights

4.2 Product Quality and Safety Standards

You bear sole responsibility for ensuring that all products and services meet the following standards:

• All products comply with applicable consumer protection laws, safety regulations, and industry standards
• Product descriptions accurately reflect quality, condition, materials, and functionality
• Products are free from defects in materials and workmanship unless otherwise clearly disclosed
• All required safety certifications, warnings, and compliance documentation are obtained and available
• You will disclose any known defects, limitations, or safety concerns in product listings
• You maintain comprehensive knowledge of product specifications and communicate these accurately to customers

4.3 Prohibited Products and Services

You may not list or sell:

• Illegal items or services
• Counterfeit goods
• Stolen property
• Items that violate intellectual property rights
• Hazardous materials without proper certification and disclosure
• Weapons, explosives, or restricted items
• Items that violate export control regulations
• Services that violate local laws or regulations
• Items or services that go against our religious standards

4.4 Listing Management

You may modify, update, or remove listings at any time. Shukify reserves the right to remove, hide, or delist any products or services that violate these Terms or appear to violate law.

4.5 Search Optimization

You agree not to engage in misleading search optimization practices, keyword stuffing, or other deceptive tactics to manipulate search results. Shukify reserves the right to penalize or delist vendors engaging in such practices.

5. PRICING, PAYMENT, AND COMMISSION

5.1 Pricing and Price Changes

You set the prices for your products and services. You may change prices at any time, but price changes apply only to future orders. You are responsible for monitoring competitive pricing and adjusting your prices accordingly.

5.2 Commission Structure

Shukify charges a flat 10% commission on all completed transactions (calculated on the subtotal before taxes and shipping). This commission is deducted from vendor payments automatically.

5.3 Additional Fees

Shukify may charge additional fees for:

• Optional promotional services
• Featured listings or premium placement
• Sponsored advertising
• Transaction processing or payment processing fees
• Any other services offered by the Platform

Shukify will notify you of any new fees at least 30 days in advance, and you may terminate your relationship with Shukify rather than accept the new fees.

5.4 Payment Processing

Shukify uses third-party payment processors to handle all transactions. You acknowledge that payment processing is subject to the payment processor's terms and conditions. Shukify is not responsible for payment processing errors or delays caused by third-party processors.

5.5 Payout Schedule

Vendors may request payment at any time. Payouts will be processed within 5-10 business days of approval, minus the 10% commission and any other applicable fees or chargebacks. Payments will be made to the bank account or payment method you specify during registration.

5.6 Chargebacks and Refunds

If a customer initiates a chargeback or payment dispute, the amount will be deducted from your account immediately. You remain responsible for resolving the dispute with the customer and the payment processor. If a chargeback is ruled in the customer's favor, the full amount (plus associated fees) will be deducted from your account or future payouts.

5.7 Tax Responsibility

You are solely responsible for:

• Calculating and collecting applicable sales taxes
• Reporting all income to tax authorities
• Paying all applicable taxes
• Obtaining all necessary tax licenses and permits
• Complying with all tax laws and regulations

6. RETURN AND REFUND POLICIES

6.1 Vendor-Determined Policies

Each vendor establishes their own return and refund policies. You are responsible for:

• Clearly communicating your return and refund policy to customers
• Posting your policy prominently in your product listings
• Honoring the commitments made in your stated policy
• Processing refunds in accordance with your stated policy

6.2 Shukify's Role

Shukify is not responsible for enforcing or mediating disputes related to return and refund policies. However, Shukify reserves the right to:

• Require vendors to offer reasonable return periods (at minimum, Shukify recommends 14 days for most items)
• Take action against vendors with excessive complaints or patterns of refusing valid refunds
• Mediate disputes if requested by either party
• Remove vendors who refuse to honor their stated policies

6.3 Customer Disputes

If a customer disputes a refund with their payment processor or files a chargeback, you may be required to work with Shukify and the payment processor to resolve the dispute. Failure to comply may result in account suspension or termination.

7. VENDOR RATINGS AND REVIEWS

7.1 Review System

Customers may leave ratings and reviews for vendors and products. You understand that:

• Ratings and reviews reflect customer opinions
• Shukify does not endorse or guarantee the accuracy of reviews
• You may not manipulate, fake, or solicit false reviews

7.2 Prohibited Conduct

You agree not to:

• Create fake accounts to post positive reviews of your products
• Pay customers for positive reviews or removal of negative reviews
• Post negative reviews of competitors
• Harass or threaten customers who leave negative reviews
• Engage in review manipulation of any kind

7.3 Review Removal

Shukify may remove reviews that are clearly false, defamatory, contain personal information, or violate these Terms. However, Shukify is under no obligation to remove negative reviews simply because you disagree with them.

7.4 Low Rating Consequences

Vendors with consistently low ratings may be:

• Hidden in search results
• Required to implement an improvement plan
• Delisted from the platform

8. INTELLECTUAL PROPERTY AND BRANDING

8.1 Vendor Ownership

You retain all intellectual property rights to your original product designs, descriptions, images, and content uploaded to Shukify, unless otherwise specified in a written agreement. You grant Shukify a non-exclusive, royalty-free license to use, reproduce, and display your content on the platform for the purpose of facilitating sales.

8.2 Platform Content

All Shukify platform content, including the website design, functionality, trademarks, logos, and proprietary technology, remains the exclusive property of Shukify.

8.3 Intellectual Property Rights

You warrant that:

• You own or have the right to use all content in your listings
• Your listings do not infringe upon third-party intellectual property rights
• You have obtained all necessary permissions and licenses for content you've posted
• You will not post content that violates copyright, trademark, patent, or other intellectual property rights

8.4 Trademark and Brand Usage

You may not use Shukify's trademarks, logos, or brand names without prior written consent from Shukify, except as necessary to identify Shukify as the platform through which you operate.

8.5 Infringement Claims

If Shukify receives a claim that your listings infringe intellectual property rights, Shukify may:

• Remove the listings immediately
• Suspend your account pending investigation
• Require you to provide proof of your rights to the content
• Terminate your account if infringement is confirmed

8.6 Your Content License

By posting content on Shukify, you grant Shukify and its users a worldwide, non-exclusive license to view and use your content for purposes related to the operation of the platform and completion of transactions.

9. CUSTOMER SERVICE AND DISPUTE RESOLUTION

9.1 Customer Communication

You agree to:

• Respond to customer inquiries within 24 hours
• Maintain professionalism in all customer communications
• Address customer concerns and complaints promptly
• Provide accurate information about products and services
• Not be abusive, threatening, or harassing toward customers

9.2 Dispute Resolution Process

In the event of a dispute between you and a customer, both parties are encouraged to resolve the matter directly. If direct resolution is not possible, either party may request mediation through Shukify's dispute resolution system.

9.3 Shukify's Role in Disputes

Shukify may, at its discretion:

• Mediate disputes between vendors and customers
• Request evidence and documentation from both parties
• Make determinations based on the facts and these Terms
• Require refunds or other remedies
• Take action against vendors for repeated violations

9.4 Arbitration and Legal Resolution

If a dispute cannot be resolved through mediation, either party may pursue legal remedies through:

• Binding arbitration in accordance with the American Arbitration Association (AAA) rules
• Traditional civil litigation in courts of competent jurisdiction
• Alternative dispute resolution through the Bais Din system (Jewish religious arbitration) if both parties agree

Any legal proceedings will be conducted in accordance with applicable U.S. law, and if Jewish, Halacha.

9.5 Escalation to Shukify

Customers may escalate disputes to Shukify if they believe you have violated these Terms or engaged in fraudulent or deceptive practices. Shukify will investigate such complaints and may take action including account suspension or termination.

10. LIABILITY AND INDEMNIFICATION

10.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHUKIFY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, or business opportunities
• Loss of data or business interruption
• Any damages arising from your use of the platform or products sold through the platform
• Any third-party claims or disputes between vendors and customers

10.2 Liability Cap

Shukify's total liability to you, arising from or related to these Terms, shall not exceed the total commission fees paid by you to Shukify in the 12 months preceding the claim.

10.3 Assumption of Risk

You acknowledge that:

• Operating an online business involves inherent risks
• You assume all risks associated with selling through Shukify
• You are responsible for all aspects of your business operations
• Shukify is not responsible for customer behavior, fraud, or disputes

10.4 Indemnification

You agree to indemnify, defend, and hold harmless Shukify and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of applicable laws or regulations
• Infringement of third-party intellectual property rights by your listings
• Your products or services
• Disputes between you and customers
• Your use of the platform

10.5 Product Liability

You assume all liability for products and services you sell. You are solely responsible for:

• Product defects and malfunctions
• Injuries or damages caused by your products
• Compliance with product safety and labeling requirements
• Product recalls if necessary
• All claims and lawsuits related to your products

11. COMPLIANCE AND LEGAL OBLIGATIONS

11.1 Legal Compliance

You agree to comply with all applicable federal, state, and local laws and regulations, including but not limited to:

• Consumer protection laws
• Product safety and labeling requirements
• Tax laws and regulations
• Antitrust and fair competition laws
• Privacy and data protection laws
• Export control regulations

11.2 Licenses and Permits

You are responsible for obtaining and maintaining all necessary licenses, permits, and certifications required to operate your business and sell your products or services.

11.3 Regulatory Requirements

You warrant that all products you sell comply with applicable regulatory requirements, including those of the Consumer Product Safety Commission (CPSC), Food and Drug Administration (FDA), and other relevant agencies.

11.4 Business Registration

You represent that you are validly registered to do business in the United States and have provided accurate business information to Shukify.

12. PROHIBITED CONDUCT

12.1 Prohibited Activities

You agree not to:

• Engage in fraudulent, deceptive, or unlawful activities
• Bypass Shukify's payment system or direct customers to external payment methods
• Engage in price fixing, bid rigging, or anti-competitive conduct
• Post offensive, defamatory, or harassing content
• Post content that don't adhere to our standards of tznius (Jewish laws of modesty)
• Use automated systems or bots to artificially boost ratings or sales
• Attempt to gain unauthorized access to Shukify systems
• Disrupt or interfere with platform functionality
• Post content that promotes violence, discrimination, or illegal activities
• Stalk, harass, or threaten customers or other vendors
• Misrepresent your identity or business
• Create multiple accounts to circumvent account restrictions

12.2 Enforcement

Shukify reserves the right to investigate any suspected violations and take action including:

• Warning or suspension of your account
• Removal of listings
• Temporary or permanent termination of your account
• Cooperation with law enforcement
• Forfeiture of your commission payments

13. SUSPENSION AND TERMINATION

13.1 Suspension

Shukify may suspend your account if:

• You violate these Terms
• You engage in suspicious activity
• Your ratings or customer satisfaction metrics fall below acceptable levels
• You fail to respond to customer inquiries
• You receive multiple complaints or chargebacks
• Shukify determines that suspension is necessary to protect the platform

13.2 Termination

Shukify may terminate your account with or without cause, at any time, by providing written notice. Upon termination:

• All your listings will be removed
• Any pending payments will be forfeited
• You may not re-register without written permission
• You remain liable for any outstanding disputes or obligations

13.3 Your Right to Terminate

You may terminate your relationship with Shukify at any time by submitting a termination request through your account. Upon termination:

• Your listings will be removed
• Pending payments will be processed according to the payout schedule
• You may re-register as a vendor in the future if you remain in good standing

13.4 Effects of Termination

Termination does not relieve you of:

• Liability for products sold prior to termination
• Obligation to honor commitments to customers
• Responsibility for resolving pending disputes
• Liability for any violations of these Terms

14. DATA PRIVACY AND SECURITY

14.1 Data Collection

Shukify collects and processes personal and business information to operate the platform, process transactions, prevent fraud, and improve services. You agree to our collection and use of this information.

14.2 Data Protection

Shukify employs reasonable security measures to protect your information, but makes no guarantee that your data will not be accessed, disclosed, altered, or destroyed by unauthorized persons.

14.3 Data Sharing

Shukify may share your information with:

• Payment processors
• Law enforcement (when required by law)
• Third-party service providers (under confidentiality agreements)
• In the event of a merger, acquisition, or asset sale

14.4 Your Responsibilities

You are responsible for protecting customer information you collect and comply with all applicable privacy laws.

15. MODIFICATION OF TERMS

15.1 Changes to Terms

Shukify reserves the right to modify these Terms at any time. Material changes will be announced at least 30 days in advance. Your continued use of the platform after changes constitutes acceptance of the new Terms.

15.2 Changes to Fees

Shukify may change commission rates or introduce new fees with at least 30 days' notice. You may terminate your account rather than accept new fees.

15.3 Changes to Service

Shukify reserves the right to modify, suspend, or discontinue the platform or any features with or without notice.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms constitute the entire agreement between you and Shukify regarding the use of the platform and supersede all prior agreements and understandings.

16.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and applicable state laws, without regard to conflict of law principles.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.4 Waiver

The failure of Shukify to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.5 Notices

All notices should be sent to Shukify at the contact information provided on the platform. Notices to you will be sent to the email address or contact information associated with your account.

16.6 Assignment

You may not assign or transfer your rights or obligations under these Terms without written consent from Shukify. Shukify may assign these Terms to a successor or affiliate.

16.7 Independent Contractor

Your relationship with Shukify is that of an independent contractor. You are not an employee, agent, or representative of Shukify.
